Our client is a leading investment holding company that owns and operates businesses across key sectors, including real estate and logistics. They are seeking a Vice President - Legal to join their growing organisation.



Objective/Purpose of Job

Providing timely, functional, relevant and effective support to the Company Secretary/Group General Counsel.

Support the Company Secretary/Group General Counsel in the statutory obligations of the client as they relate to the NGX Regulation, Securities and Exchange Commission, the Financial Reporting Council of Nigeria, the Corporate Affairs Commission and other relevant regulators.

Support the Company Secretary/Group General Counsel in managing relationships with shareholders and other relevant stakeholders that the Legal department deals with on a day-to-day basis.

Duties and Responsibilities

  • Provide support to the Company Secretary/Group General Counsel in ensuring all contractual relationships between any of the client Group companies and counter parties are properly captured in written agreements.
  • Under the supervision of the Company Secretary/Group General Counsel, prepare and review contracts, legal documentation, memoranda of understanding and such other similar documents between any of the client Group companies and counter parties. Ensure such legal documentation are devoid of errors.
  • In consultation with the Company Secretary, ensure all statutory filings required to be made to the NGX Regulation, the Securities and Exchange Commission, the Financial Reporting Council of Nigeria, the Corporate Affairs Commission, Ministry of Interior, and the Nigerian Immigration Service are rendered as at when due, in respect of the client and other relevant Group companies.
  • Assist the Company Secretary in providing effective company secretarial services to the client and other companies within the Group, as applicable.
  • Assist the Company Secretary to properly plan and coordinate the client Group companies’ Annual General Meeting and other general meetings.
  • Oversee the payment of NGX listing fees, CSCS depositary fees, SEC Proxy form fee, FRCN levy and any other regulatory required fees.
  • Proactively manage the Group’s litigation portfolio and follow-up with external lawyers handling same for effective monitoring. Ensure all litigation files are updated with all processes drafted and filed in connection with every case.
  • Proactively manage the Group’s Intellectual Property portfolio and follow-up with trademark attorneys handling same for effective monitoring. Ensure an updated trademark schedule is maintained.
  • Proactively manage the client's Property portfolio, ensuring valid and subsisting titles, tenancies, and leases.

Education and Experience

  • Bachelor of Laws (LLB)
  • Barrister of Laws (BL)
  • Masters at Law (LLM)
  • Associate, Institute of Chartered Secretaries and Administrators of Nigeria (ICSAN)
  • Minimum of 10 years post call functional legal and company secretarial experience
