Junior Legal Counsel - Russian/ Ukrainian, Ref. 32538 (32538/007) Zürich, Switzerland
Our client, a commodities company is seeking for Junior Legal Counsel – Russian or Ukrainian speaking for their offices in Zug (temporary contract with possible extension):
Responsibilities:
• Preparation of minutes of the company board meetings, ensuring that all minute books are kept up-to-date;
• Deputising, as appropriate, for the Company Secretary in attending PLC Board and committee meetings and taking the minutes in respect of the same.
• Assistance in coordination of legal services, both internal and external in the Ukraine;
• Assistance in dealing with the secretarial aspects of bank mandate changes and documents requiring execution on behalf of the Company in accordance with the Company Treasury Policy;
• Preparation, where necessary in conjunction with Swiss legal advisers, of Powers of Attorney and other documents of representation, execution, notarisation and legalisation of the same on behalf of the company.
Requirements:
• Fluent English and Ukrainian or Russian language is essential;
• Legal degree qualifications in either Switzerland, Ukraine or UK.
• Detailed knowledge of corporate legal and company secretarial regulations and requirements in Switzerland and Ukraine. Working knowledge of UK FSA and Listing Requirements an advantage.
• IT literate with knowledge of Microsoft Office programs.
• Knowledge of financial regulations. Not essential but weight will be given to knowledge of regulations in the Ukraine and or the United Kingdom and Switzerland.
• High level of written and verbal communication and interpersonal skills.
• Ability to participate in and facilitate group meetings.
